# Jersey broadens LLC access in bid to stay ahead of rivals

**In brief:** Jersey Finance has published updated guidance on Limited Liability Companies, which came into force on 14 October. The revisions, issued by the Jersey Financial Services Commission following consultation, broaden how LLCs can be used and remove restrictions on who can access them.

## What Has Changed and Why It Matters

Jersey introduced the legal framework for Limited Liability Companies in 2022, offering a hybrid structure that combines features of both companies and partnerships. The idea was to give international businesses and investors an additional option when structuring their affairs through the island. The guidance underpinning that framework has now been updated.

The revised guidance, published by the Jersey Financial Services Commission following a period of consultation, came into force on 14 October. According to the Jersey Evening Post, the key changes are threefold: LLCs can now act as trustees, they can be used for specified financial services activities, and restrictions that previously limited their use to financially sophisticated investors or customers have been removed.

That last point is particularly significant. Removing the sophistication threshold opens the door to a wider range of clients and transactions, giving advisers considerably more flexibility when helping clients organise business activities across different jurisdictions.

## Jersey Finance’s Position

Jersey Finance, the body that promotes the island’s financial services industry internationally, has welcomed the changes as a step forward in keeping Jersey’s offering sharp and competitive. Chief executive Joe Moynihan said: “Against the backdrop of an increasingly complex global financial services landscape, it is vital that we continue to evolve our proposition and provide certainty and choice for those looking to structure their international activities through Jersey.”

The update forms part of what the Jersey Evening Post describes as continuing work between the government, the regulator and industry to keep Jersey’s financial framework both competitive and responsive to international demand. In other words, this is not a one-off tweak but part of a broader, ongoing effort to ensure the island does not fall behind rival jurisdictions.

## Why This Matters for Jersey

Jersey’s financial services industry is the backbone of the island’s economy, and its ability to attract international business depends heavily on the quality, clarity and flexibility of its legal and regulatory framework. Rival jurisdictions, from the Cayman Islands to Luxembourg, are constantly refining their own offerings, so standing still is not really an option.

The LLC structure itself is well established in jurisdictions such as the United States, where it is one of the most popular vehicles for business and investment. By ensuring Jersey’s version is both clearly defined and broadly accessible, the island is better placed to capture business from clients who are already familiar with the structure and want to use it in a well-regulated, internationally recognised centre.

For Jersey-based advisers, lawyers and fund administrators, the practical effect is more tools in the toolkit. Clients with complex, cross-border structures now have greater certainty about what Jersey LLCs can and cannot do, which reduces legal risk and makes the island a more attractive place to book business.

## The NSFW Perspective

There is something quietly reassuring about watching Jersey’s financial services industry do what it does best: identify a gap, consult properly, and then get on with it. No lengthy political drama, no committee deadlock, just a regulator and an industry body working together to keep the island’s proposition current. If only all regulatory updates were this straightforward.

The removal of the sophistication restriction is the detail worth watching. Broadening access to any financial structure can be a double-edged sword, and it will be interesting to see how the JFSC monitors the practical use of LLCs as they become more widely available. For now, though, this looks like a sensible and well-considered piece of work, and Jersey’s finance industry will be hoping it translates into tangible new business flowing to the island rather than to its competitors.
